租赁公司依据其签订的“租赁合同”，将设备交给承租人使用，承租人则按合同约定，向租赁公司支付租赁费。租赁合同期满后，承租人交回所租设备，也可以要求折价买下所租设备。
租赁合同的主要项目是：

寄售协议
××公司(以下简称甲方)
与×××(以下简称乙方)就甲方参加乙方举办的展销活动，以寄售方式提供展品事宜，经过磋商双方达成协议如下：
(1)寄售额度：约_万美元，有关实际品种的数量、售价及金额以双方签定的销货确认书为准。
(2)装运日期：乙方应于9月25日以前出具银行担保乙方承担本寄售协议全部义务的函件或备用信用证，经中国银行送达甲方，甲方凭以争取在1985年10月25日前将寄售品按CIF基础从上海装出直接或经香港海运去纽约。
(3)保管责任：货抵纽约后，乙方负责提货和保管、交税，办理美国国内一切必要的保险等手续，并负责支付由此所发生的各项费用。
(4)寄售期限：由寄售品运抵纽约后起至1986年4月14日止。届时寄售的货物由甲方驻展销的贸易小组全权处理，但乙方仍要负责保管、保险，直到货物售完或运回为止。
(5)结束事项：
①寄售品在出售后，由乙方代办承付关税等手续并将甲方应得货款及时付给甲方。
②所有寄售品如经乙方协助甲方未能找到买主出售时，乙方应负责协助甲方将原物装回，费用由甲方自理。
(6)未尽事宜，由双方另行商定。
本协议用中文、英文两种文字写成，具有同等效力。

包销合同
××进出口公司(以下简称甲方)和×国××贸易行(以下简称乙方)，通过友好协商，订立包销合同如下：
(1)甲方指定乙方为××(商品)在×国××地区包销商，包销期限为××年×月×日到××年×月×日。
(2)包销数量：在包销期限内，乙方负责推销××(商品)不少于××(数量)，并按季度大体均衡完成。
(3)在包销期内，甲方不得向××地区其他商人销售本合同所列商品；乙方不得购买、推销或代理销售其他任何人供应的同类或类似商品。如发现有违反以上规定，双方均有权取消本合同。
(4)在包销地区内，如有其他商人向甲方洽购本合同所列商品，甲方应将该项业务转给乙方处理。如果甲方与包销地区内其他商人直接达成本合同所列商品的交易，其价格不得低于售给乙方的价格，并应按FOB货价给乙方1%的佣金，同时将有关合同副本一份寄送乙方。
(5)乙方应按月向甲方报告包销地区本合同所例商品的市场情况。
(6)两国政府间贸易，招标、投标和易货贸易均不受本合同约束。
(7)本合同必须严格信守，任何一方发生违约情况，另一方有权要求赔偿损失，必要时可提出中止合同。
(8)本合同期满前3个月，双方应协商决定其终止或延长。
(9)合同执行期间，双方如有争议，应本着友好精神，协商解决。如不能协商解决时，可提请中国国际贸易促进委员会仲裁委员会按该会仲裁程序暂行规则，在北京仲裁决裁是终局的，对双方都有约束力。
(10)本合同一式二份，甲乙双方各执一份。

欢迎在合格货源国(包括中国在内的发展中国家和OECD成员国)组成和注册并受该国控制的有丰富经验和良好信誉的制造厂和／或贸易公司参加供货。请于今年六月三十日以前函告拟供货项目并向我公司提交资格预审资料。全部资料请以英文书就，一式三份。
上述资料应包括以下内容：
(1)投标商全名，所属国家；
(2)简历；
(3)公司章程；
(4)组织机构及主要成员，所属财团；
(5)实收资本，近三年营业额及净利润；
(6)关系银行及银行开立的资信证明；
(7)授权代理厂商情况以及授权证书(如是代理商时)；
(8)类似设备近三年制造销售情况及参考名单，品质证；
(9)供货能力和交货时间。
我公司于资格审查完毕后，向合格制造厂家或贸易公司发出询价。

It is mutually agreed that party“B”shall undertake the sales of the aforesaid commodity(ies)not less than…in the duration of this Agreement．

(5)付款方式：Payment：
定单经确认后，乙方应按照有关销货确认书所规定的时间内开具以甲方为抬头的全数的、保兑、不可撤销和见票即期付款的信用证。乙方应在开出信用证后立即通知甲方以便甲方准备交货。
After confirmation of order，party“B”shall arrange to open a 100% Confirmed，Irrevocable L／C available by draft at sight in favour of Party“A”within the time stipulated in the relevant S／C．Party“B”shall also notify Party“A”immediately after the L／C is opened，so that Party“A”may prepare for delivery．
(6)佣金：Commission：
在本协议到期时，乙方完成第二款所述的总额，甲方当按本协议期内所出运货物的已收到货款的全部发票的累计总金额付给乙方%佣金。
At the termination of the Agreement and on Party B’s fullfilment of the total turnover mentioned in Article 2，Party“A”will pay to Party“B”% commission on the aggregated amount of the invoice values against shipments effected and relevant payments received．
(7)市场情况报导：Reports on Market Conditions：
乙方应每三个月向甲方提供一次有关当时的市场情况和用户反映的详细报导。同时，乙方也应随时向甲方提供其他方面所供应的类似商品的样品及其价格、销售情况和广告材料供甲方参考。
Party“B”shall have the obligation to forward once every three months to Party“A”detailed reports on current market conditions and of consumers’comments．
For reference purpose，Party“B”shall，from tiem to tiem，forward to Party“A”samples of similar commodity(ies)offered by other suppliers，together with their prices，sales position and advertising materials．
(8)宣传广告费用：Advertising&Publicity Expenes．
在本协议期内，乙方在经销地区内所作广告宣传的一切费用，由乙方自理，乙方在事先应向甲方提供有关这些宣传广告的图案及文字草稿，由甲方审阅同意。
Party“B”shall bear all expenses for advertising and publicity within the afore mentioned territory in the duration of this Agreement and submit to Party“A”all drafts and／or drawings intended for such purposes for prior approval．
(9)协议有效期：Validity of Agreement：
本协议经双方签署后生效，有效期自__至__。
本协议如需重新订立，由一方在协议到期前一个月内向对方书面通知并经双方同意后进行。无论那一方，如不能履行协议所规定的条款，对方有权宣告不受本协议约束
This Agreement，When duly signed by the parties concerned，shall remain in force for…
to be effective as from——to——．If a renewal of this Agreement is desired，notice in writing should be given by either party within one month prior to its expiry for mutual consent．Should one of the Parties fail to comply with the terms and conditions of this Agreement，the other party is entitled to the right to terminate this Agreement．
(10)仲裁：Arbitration：
在履行协议过程中，如有争议，应由双方直接协商解决，如不能解决，可向中国国际贸易促进委员会对外贸易仲裁委员会提出申请，按照“中国国际贸易促进委员会对外贸易仲裁委员会仲裁程序暂行规则”进行仲裁。该委员会所作出的决定应为最后裁决，双方必须遵守。有关仲裁费用，除裁决书另有规定的外，应由败诉一方负担。
All disputes arising from the execution of this Agreement shall be settled by direct negotiation．In case no settlement can be reached，the case in dispute shall then be submitted for arbitration to the“FOREIGN TRADE ARBITRATION COMMISSION OF THE CHINA COUNCIL FOR THE PROMOTION OF INTERNATIONAL TRADE，PEKING”in accordance with the “PROVISIONAL RULES OF PROCEDURE OF THE FOREIGN TRADE ARBITRATION COMMISSION OF THE CHINA COUNCIL FOR THE PROMOTION OF INTERNATIONAL TRADE”．The decision made by this Commission shall be regarded as final and is binding on both parties．Arbitration fees shall be borne by the losing party，unless otherwise awarded．
(11)其他条款：Other Terms &Conditions：
①甲方对经销地区内的其他买户不供应合约所规定的商品，如有询价，当转给乙方洽办。如有买户坚持要向甲方直接订购，甲方有权供应，但在成交后应由甲方将有关销货确认书副本寄给乙方并为乙方按出运发票金额保留＿%佣金。
②如乙方不能在 个月内给甲方至少 的定单，甲方将不承担本协议的业务。
③对双方所归属政府间的交易，甲方有全权不受本协议的约束进行甲方政府所授权的有关直接贸易。乙方不得干涉这种直接贸易，并不得向甲方要求任何补偿或佣金。
④其他条款应按双方所签订的销货确认书执行。
A．Party“A”shall not supply the contracted commodity(ies)to other buyers in the above mentioued territory．Direct enquiries，if any，will be referred to Party“B”．However，should any other buyers insist on dealing with Party“A”direct，Party“A”shall have the right to do so．In the latter case，Party“A”shall send to Party“B”a copy of S／C and reserve per cent( %)commission for Party“B”on the net invoice valuc on the transactions concluded．
B．Should party“B”fail to pass on their orders to Party“A”for a period of months for a minimum of Party“A”shall not bind themselves to this Agreement．
C．For any business transacted between governments of both Parties，party“A”shall have full right to handle such direct dealings as authorized by Party A’s government without binding themselves to this Agreement．Party“B”shall not inter fere with such direct dealings，nor shall Party“B”bring forward any demand for compensations or commission thereof．
D．Other terms and conditions shall be subject to those specified in the formal S／C signed by both parties．
本协议于 在 签订。正本二份，甲乙方各执一份。
